The Annual General Meeting 2023 (the “AGM”) of BW LPG Limited (the “Company”) was held on 15 May 2023. All proposed resolutions were resolved. Please see the attached document for the minutes of the meeting.
Reference is made to the Company’s stock exchange announcement on 21 April 2023 regarding the board resolution on redomiciling to the Republic of Singapore. In accordance with the board of directors’ proposal, the AGM has resolved to transfer the Company’s domicile from Bermuda to Singapore in accordance with the provisions of Section 132G of the Bermuda Companies Act 1981 as amended and Part 10A of the Singapore Companies Act 1967. The Company will communicate the expected effective date of the redomiciliation in due course.
The AGM has elected Mr Luc Gillet as a new member of the Company’s board of directors. Mr Gillet is a graduated engineer from Ecole Nationale Supérieure de Techniques avancées (1980) and holds an EMBA of HEC (1991). He currently serves as an independent director of Orion Global Transport France (OGTF), an owner and operator of LNG vessels. Prior to this, Mr Gillet was Senior Vice President Shipping at TotalEnergies and President of the Chartering affiliate CSSA. Ms Martha Kold Bakkevig, a member of the Company’s board of directors since August 2017 and a member of the Company’s remuneration committee since October 2018, has decided to step down as of 15 May 2023.
Chairman of the board of directors, Mr Andreas Sohmen-Pao, says: “Over the past six years, Ms Bakkevig has added a strong industrial perspective to the board. We are very grateful for her insights and contributions. We welcome Mr Gillet as a director with over 30 years of experience in energy shipping, and look forward to benefiting from his experience.”
